Terms of Service

Please read these Terms of Service carefully before using the AutoMSP website or any services offered by AutoMSP AI Automation Services LLC ("AutoMSP," "we," "us," or "our"). By accessing or using our website at automsp.us or any of our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.
1. Services
AutoMSP provides AI automation services including, but not limited to, workflow automation, AI infrastructure deployment, agentic AI systems, voice agents, CRM automation, and Answer Engine Optimization (AEO). Specific deliverables, timelines, and pricing are defined in individual Statements of Work (SOW) or service agreements signed between AutoMSP and the client.
2. Eligibility
By using our services, you represent that you are at least 18 years of age and have the legal authority to enter into a binding agreement on behalf of yourself or the organization you represent. Our services are intended for businesses and professionals, not consumers.
3. Accounts and Access
If you are granted access to any AutoMSP platform, portal, or tool, you are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized access or security breach at info@automsp.us.
4. Payment and Billing
AutoMSP operates on a zero-payment-until-live commercial model for productized services. Payment terms, milestones, and refund conditions are defined in your individual service agreement. All fees are in USD unless otherwise specified. AutoMSP reserves the right to suspend services for non-payment after written notice.
5. Acceptable Use
You agree not to misuse our services or website. Prohibited activities include:
• Using our services for unlawful purposes or in violation of any applicable laws
• Attempting to gain unauthorized access to any system or data
• Reverse engineering, copying, or redistributing our proprietary tools or methods
• Engaging in conduct that could harm AutoMSP, its clients, or third parties
• Transmitting malware, spam, or any harmful code through our systems
6. Intellectual Property
All content, tools, frameworks, code, and methodologies developed by AutoMSP remain the intellectual property of AutoMSP unless explicitly transferred to the client in a signed agreement. Client data and content remain the property of the client. You grant AutoMSP a limited license to use your data solely to deliver the agreed services.
7. Confidentiality
Both parties agree to keep confidential any non-public business information shared during the engagement. This obligation survives termination of the agreement for a period of two (2) years. AutoMSP will not disclose client data to third parties except as required to deliver services or comply with law.
8. Disclaimer of Warranties
Our services are provided "as is" and "as available." AutoMSP makes no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that our services will be uninterrupted, error-free, or that results will meet specific business targets.
9. Limitation of Liability
To the fullest extent permitted by law, AutoMSP shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability for any claim shall not exceed the amount paid by you to AutoMSP in the three (3) months preceding the claim.
10. Termination
Either party may terminate the engagement as specified in the applicable service agreement. AutoMSP reserves the right to suspend or terminate access to any service immediately if you violate these Terms or engage in conduct that could harm AutoMSP or its users. Upon termination, your right to access our services ceases immediately.
11. Governing Law
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in Sheridan, Wyoming, except where prohibited by law. You agree to submit to the personal jurisdiction of courts in Sheridan County, Wyoming for any matters not subject to arbitration.
12. Google API Services
AutoMSP's use and transfer of information received from Google APIs to any other application will adhere to Google API Services User Data Policy, including the Limited Use requirements. We only request access to Google user data that is necessary to provide the specific features of our services. We do not use Google user data for advertising purposes or share it with third parties except as required to deliver the service.
13. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a revised effective date. Your continued use of our services after changes are posted constitutes your acceptance of the updated Terms.
